Terms and Conditions
These terms explain the agreement between you and Meridian when you use Meridian BIA.

Meridian BIA is provided by Meridian, a Birdsight.io company ("Meridian", "we", "us" or "our"). When you create an account, start a trial, purchase a subscription or continue using the service, you enter into an agreement with Meridian and accept these Terms.
2. The service
Meridian BIA helps organisations document departments and applications, assess business impact and operational risk, map system dependencies, identify critical systems and prepare management reports. We grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes while your trial or paid access remains active.
The service is a decision-support tool. It does not replace professional risk, legal, regulatory, cybersecurity or business-continuity advice.
3. Accounts and authority
You must be legally able to enter this agreement. If you use Meridian for an organisation, you confirm that you are authorised to bind that organisation. You must provide accurate account information, keep it current, protect your credentials and take responsibility for activity under your account. Tell us promptly if you suspect unauthorised access.
4. Trials, subscriptions and payments
New eligible accounts receive a seven-day trial unless a different offer is shown at sign-up. The current paid plan is billed monthly at the price displayed before checkout. You may cancel future renewal through your billing-management page. Cancellation normally takes effect at the end of the paid billing period, unless applicable law or the payment provider's terms require otherwise.
Payment, billing, taxes, cancellation and refund mechanics are also governed by Paddle's Buyer Terms. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
5. Your content
You retain ownership of the application names, descriptions, dependencies, assessments and other information you submit. You give us a limited licence to host, process, transmit, back up and display that content only as needed to provide, secure and improve the service. You confirm that you have the rights and authority needed to provide it.
6. AI-assisted features
AI features may suggest descriptions, dependencies, risk scores and other assessment content. Suggestions may be incomplete, inaccurate or unsuitable for your organisation. You remain responsible for your prompts, input data, review of every suggestion, final scores and any decision made using an output. AI output must not be relied on as regulated professional advice without suitably qualified human oversight.
You must not use AI features to create illegal content, harmful instructions, malware, deceptive deepfakes, hate or harassment; infringe another person's rights; bypass safeguards; or attempt to extract confidential system information. We may filter or refuse outputs, remove content, restrict features or suspend accounts to address safety, rights or legal concerns. Rights holders may report suspected infringement through our published support channel. Repeated infringement may result in termination.
7. Acceptable use
You must not use the service unlawfully; facilitate fraud or spam; upload malware; interfere with security or availability; probe, scrape or access the service without permission; infringe intellectual-property or privacy rights; reverse engineer or circumvent technical limits; resell or redistribute the service; or use it to harm another person. Automated access is prohibited unless we approve it in writing.
8. Our intellectual property
Meridian and its licensors own the service, software, documentation, designs, branding and all related intellectual property, excluding your content. No rights are granted except the limited right to use the service under these Terms.
9. Availability and changes
We work to keep Meridian reliable and secure, but do not guarantee uninterrupted, error-free or permanently available service. We may maintain, update or change features where reasonably necessary. Events beyond our reasonable control may affect performance.
10. Suspension and termination
We may suspend or terminate access for a material breach, non-payment, credible security or fraud risk, or repeated or serious policy violations. You may stop using the service at any time. When access ends, editing may stop and your data may later be deleted under our retention practices; export important records before cancellation where possible.
11. Warranties and liability
To the fullest extent permitted by law, the service is provided "as is" and we exclude implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We are not liable for indirect, consequential or special loss, including loss of profit, data, business or goodwill. Our total liability arising from the service will not exceed the fees you paid for it during the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, death or personal injury caused by negligence. Your mandatory consumer rights remain unaffected.
12. Indemnity
Where permitted by law, you will indemnify Meridian against third-party claims arising from your content, unlawful use of the service or material breach of these Terms.
13. General
You may not assign this agreement without our consent. We may assign it as part of a reorganisation, merger, acquisition or sale of assets. If one provision is unenforceable, the remaining provisions continue. Applicable law and competent courts will govern this agreement, subject always to mandatory rights and jurisdiction rules that protect consumers where they live.
We may update these Terms to reflect service, legal or operational changes. Material changes will be communicated reasonably. Continued use after an update takes effect means you accept the revised Terms.
